1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to the Acoustas website and all purchases of Acoustas‑branded products. “Acoustas” is a registered trademark and trading name of Lava Lab LLC. By visiting the Site, downloading our app, or purchasing a Product you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase Products.

2. Eligibility

You must be (a) at least the age of majority in your jurisdiction, or (b) have a parent or guardian accept these Terms on your behalf.

3. Changes to Terms

We may update these Terms at any time. The Last Updated date will change accordingly. Continued use of the Site or Products after changes become effective constitutes acceptance of the new Terms.

4. Orders, Pricing, and Availability

Prices and availability may change without notice. We reserve the right to refuse or cancel orders, limit quantities, or terminate accounts at our sole discretion.

5. Product Use and Assumption of Risk

For clarity, the word “Product” covers every Acoustas‑branded device sold on our Site, including complete amplifiers, pre‑amplifiers, individual amp‑modules, future DSP‑modules, and any other Acoustas hardware.

  • Highly Configurable DSP System – Acoustas amplifiers allow adjustment of crossover points, FIR or PEQ filters, gain, polarity, and delay.
  • Potential for Damage – Misconfiguration can permanently destroy loudspeakers, damage electronics, or produce hazardous sound pressure levels.
  • User Responsibility – You certify that you understand audio‑system safety or will consult a professional.
  • Safe‑Start Procedure – Always power on with master volume and channel gains at minimum. Raise levels slowly while monitoring for distortion.
  • Third‑Party Presets – Using presets or firmware from sources other than Acoustas is entirely at your risk.
  • Tinkering, Internal Access, and Modifications – Opening the enclosure, bypassing safety features, or performing any modification, repair, or “tinkering” inside an Acoustas Product (whether following our instructions, third‑party guides, or personal experimentation) is done entirely at your own risk. Such actions can expose you to high voltages and may damage the Product or connected equipment. Acoustas disclaims liability for personal injury (including electric shock) and for any resulting damage. Unauthorized disassembly or internal modification automatically voids all warranties.
  • No Liability – To the fullest extent allowed by law, Lava Lab LLC disclaims responsibility for any property damage, injury, or loss resulting from your configuration choices.
  • 6. Software and Firmware Disclaimer

Our control applications and embedded firmware are provided “AS IS” and “AS AVAILABLE.” Software or firmware bugs may inadvertently apply unsafe gain, filter, or routing settings that can damage connected speakers or other audio equipment. You use all Acoustas software and firmware entirely at your own risk and should always begin with a low‑level test signal, increasing volume gradually while watching for abnormal behaviour. We do not warrant error‑free or uninterrupted operation. Features may change without notice. Keep backups of presets and data.

7. Safety Guidelines (Summary)

  1. Begin each new setup at minimum gain or volume.
  2. Avoid EQ boosts greater than +6 dB.
  3. Verify that meters show no clipping and that no audible distortion is present.
  4. Use properly rated speakers, cabling, and power supplies.
  5. Read the user manual before applying advanced settings.

8. Accuracy of Information

Site content is for general information only. We are not responsible if information is inaccurate, incomplete, or outdated. Reliance on such information is at your own risk.

9. Limited Warranty

  • Coverage – Hardware defects in materials or workmanship for twelve (12) months from purchase.
  • Exclusions – Damage caused by (a) user settings or misconfiguration, (b) software or firmware bugs, (c) misuse or abuse, (d) modifications, (e) operation outside published specifications, (f) acts of nature such as fire, flood, or lightning, or (g) unauthorized disassembly, internal access, tinkering, or modification of the Product.
  • Remedy – At our option we will repair, replace, or refund the original purchase price.
  • Disclaimer of Implied Warranties – Except where prohibited, all implied warranties (merchantability, fitness for a particular purpose, non‑infringement) are disclaimed or limited to the warranty period.

10. Returns and Refunds

See our separate Return Policy on the Site. We may refuse returns that violate these Terms or the Return Policy.

11. Intellectual‑Property Rights

  • Acoustas® is a registered trademark of Lava Lab LLC.
  • All Site and Product content (including software code, trademarks, text, graphics, and audio samples) is owned by Lava Lab LLC or its licensors.
  • No content may be copied, modified, or distributed without prior written consent.

12. Third‑Party Links and Content

Links to third‑party websites are provided for convenience. We do not endorse and are not responsible for their content.

13. Indemnification

You agree to indemnify and hold harmless Lava Lab LLC (d/b/a Acoustas), its officers, directors, employees, agents, and affiliates from any claim arising out of (a) your misuse of Products or Services, (b) violation of these Terms, or (c) infringement of any third‑party right.

14. Limitation of Liability

To the maximum extent permitted by law, Lava Lab LLC will not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or goodwill; cost of substitute equipment; or personal injury or property damage, even if advised of the possibility. Aggregate liability will not exceed the amount you paid for the Product that gave rise to the claim.

15. Dispute Resolution and Arbitration

  1. Good‑Faith Negotiation – You and Acoustas will first attempt to resolve any dispute through informal discussion. Either party may start this process by sending written notice to the other. If the dispute has not been resolved within thirty (30) days, either party may proceed to arbitration.
  2. Binding Arbitration – Any unresolved dispute or claim arising out of these Terms will be submitted for final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Richmond, Virginia, unless the parties agree to a different location or to a virtual hearing.
  3. Waiver of Jury Trial and Class Actions – You waive the right to a jury trial and to participate in class, collective, or mass actions.
  4. Provisional Relief – Either party may seek injunctive or other provisional relief from a court of competent jurisdiction in Richmond, Virginia, to protect its rights or property.
  5. Attorney Fees – If Acoustas is the prevailing party in any arbitration or court proceeding, you agree to reimburse all reasonable attorney fees and costs that we incur in enforcing our rights.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict‑of‑law principles.

17. Severability

If any provision is held unenforceable, the remaining provisions remain in full force and effect.

18. Assignment

We may assign our rights and obligations under these Terms at any time. You may not assign your rights without our prior written consent.

19. Entire Agreement and Waiver

These Terms, along with any policies referenced herein, constitute the entire agreement between you and Lava Lab LLC. Failure to enforce any right is not a waiver of that right.
